CW6.3 for MCUs is not CW for HCS12. CW5.1 for S12(X) installs and operates on 64bit windows quite well. Though it is recommended to install it not to Program Files folder, which Win7 is trying to make read only like, remapping ini and some other files to %user%\AppData\Local and LocalLow. This may make CW half working, so try different root folder.
