OK, for starters, is the license file actually named "license.txt"? If so, it needs to be named "license.dat". If that's not the case, Then hang onto a copy of that license file. Proceed as follows:
1) Download the special edition of CodeWarrior from the Freescale web site.
2) Once that is downloaded safely, remove the old copy of CodeWarrior, although it seems that you have done that already. Remove all of the CodeWarrior folders in the Program Files directory. (This assume you only have the one version of CodeWarrior. If you have installed multiple CodeWarrior toolsets, then delete ONLY the folders of the version that you're trying to get to work.)
3) Install the special version of CodeWarrior.
4) Try building a project and running it. Then try flashing it. If that all works, then save a copy of the license.dat file that came with the installation for safekeeping. (It is located in the CodeWarrior directory.)
5) Now replace that license file with your license.dat file and see if you regain all of the features of the toolset.
